Norn Platform - Subscription Terms

These Subscription Terms govern the provision of the Norn autonomous delivery platform (“the Platform”) to business customers (“Customer”) under an Order Form or written offer that references these Terms. They apply to businesses only, not consumers.

1. The service

Norn is an autonomous, multi-agent software delivery platform operated by eView. Under a subscription, eView deploys and operates an instance of the Platform for the Customer, as described in the Order Form (scope, environments, integrations, service levels). The Platform is provided as a managed service; the software is not sold, and no source-code rights are granted.

2. License and restrictions

eView grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable right to use the Platform instance during the subscription term, for the Customer’s internal business purposes. The Customer must not: copy, modify, or create derivative works of the Platform; reverse engineer it except where the law permits; resell or provide it to third parties; use it to build a competing product; or exceed the usage scope in the Order Form. All rights not expressly granted are reserved. The Platform, including improvements developed during the engagement, remains eView’s exclusive property.

3. Customer data and outputs

The Customer retains all rights to data it provides and to the work products the Platform generates for the Customer (deliverables specified in the Order Form). eView processes Customer data only to provide the service, under a Data Processing Agreement where personal data is involved. eView may use aggregated, de-identified operational metrics to improve the Platform.

4. Fees and payment

Fees, billing period and payment terms are set in the Order Form. Pricing is set individually per customer offer. Unless stated otherwise: invoices are payable within 15 days; late amounts may accrue statutory interest; fees are exclusive of VAT and applicable taxes. Subscriptions renew per the Order Form; either party may decline renewal with 30 days’ written notice before the term end.

5. Service levels and support

Target availability, support channels and response times are stated in the Order Form or its SLA annex. Planned maintenance is announced in advance. Remedies for SLA misses, where agreed, are service credits and are the exclusive remedy for availability shortfalls.

6. Confidentiality

Each party protects the other’s non-public information with at least reasonable care, uses it only for the engagement, and discloses it only to personnel bound by confidentiality. This survives termination for 3 years; trade secrets remain protected as long as the law protects them.

7. Warranties and disclaimers

eView warrants that the Platform will materially conform to the Order Form description and that services are performed with professional skill and care. Except as stated, the Platform is provided “as is”; eView disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement. The Customer remains responsible for reviewing and approving Platform outputs before relying on them in production or with its own clients.

8. Liability

Neither party is liable for indirect, incidental, or consequential damages, loss of profits, or loss of data. Each party’s total aggregate liability under these Terms is capped at the fees paid or payable in the 12 months preceding the claim. These limits do not apply to breaches of confidentiality, IP infringement, or liability that cannot be limited by law.

9. Term, suspension and termination

The subscription runs for the term in the Order Form. Either party may terminate for material breach not cured within 30 days of written notice. eView may suspend the service for non-payment or security risk after notice. On termination, eView returns or deletes Customer data per the DPA, and the Customer’s access ends.

10. General

Governing law: European Union law; courts: the competent courts within the European Union. Neither party may assign these Terms without consent, except to an affiliate or in a merger or asset sale. Order Form terms prevail over these Terms where they conflict. Notices go to the contacts in the Order Form.
